Welcome to InvitePaywall.com ("InvitePaywall", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our website invitepaywall.com (the "Site"), our Discord bot (the "Bot"), and any related services we provide (collectively, the "Services"). Our Services are provided by Irrational Finance AB, a company registered in Sweden with organisationsnummer 559522-9351, located at Masthamnsgatan 3, 413 29 Göteborg, Sweden.

By installing our Bot, using our Site, or otherwise accessing or using our Services, you ("Server Owner", "you", "your") agree to be bound by these Terms and our Privacy Policy (available at Privacy Policy). If you do not agree to these Terms, do not use our Services.

Description of Services

InvitePaywall provides a service that allows Discord Server Owners to create paywalls for their Discord server invites. End-users ("End-Users") wishing to join a server with an active paywall must pay a fee set by the Server Owner. Upon successful payment, the Bot will generate a time-restricted, single-use Discord invite link.

Our Services offer two primary models for handling payments:

• a. Platform Tier: InvitePaywall processes the payment from the End-User via our own Stripe account. InvitePaywall retains the full fee paid by the End-User (after deduction of Stripe's processing fees).
• b. Commission Tier: The Server Owner connects their own Stripe account to InvitePaywall via Stripe Connect. Payments from End-Users are processed directly on the Server Owner's connected Stripe account. InvitePaywall charges the Server Owner an application fee (a commission) for each successful transaction, which is automatically deducted by Stripe. The Server Owner is the merchant of record for sales to End-Users in this tier.

Eligibility and Account

• a. To use our Services as a Server Owner, you must have the authority to manage the Discord server for which you are setting up a paywall.
• b. You do not create a separate user account on the InvitePaywall Site. Your interaction with our Services is primarily through the Bot on your Discord server. Your identity for the purpose of our Services is linked to your Discord User ID and the Guild ID of the server(s) where the Bot is installed.
• c. If you choose to use the Commission Tier, you must have a valid Stripe account and agree to Stripe's terms and conditions, including the Stripe Connected Account Agreement. You are responsible for the accuracy of the information you provide to Stripe.
• d. You must be of legal age to enter into binding contracts and use financial services like Stripe (typically 18 years or older).

Server Owner Responsibilities

• a. You are solely responsible for the content, management, and rules of your Discord server. InvitePaywall is a tool to manage invite access and is not responsible for the activities or content within your server.
• b. You are responsible for setting the invite fee amount and currency for your paywalls.
• c. You agree to comply with all applicable laws and regulations in your use of the Services, including tax obligations related to revenue you earn through the Commission Tier.
• d. You agree not to use the Services in connection with any Discord server that promotes or facilitates illegal activities, hate speech, harassment, or any other content that violates Discord's Terms of Service or Community Guidelines, or that we, in our sole discretion, deem inappropriate.

Fees and Payments

• a. Platform Tier: InvitePaywall collects and retains the full fee paid by End-Users, after Stripe's processing fees. No funds are paid out to the Server Owner in this tier.
• b. Commission Tier:
  • i. End-User payments are processed by Stripe directly to your connected Stripe account.
  • ii. InvitePaywall will charge you an application fee (our "Commission") for each successful transaction processed through your connected Stripe account. The Commission rate will be communicated to you (e.g., via our Site or Bot) and is subject to change with prior notice.
  • iii. Our Commission is inclusive of any applicable Value Added Tax (VAT) that InvitePaywall is required to charge on its service fee to you. The specific VAT treatment will depend on your location and business status, as determined by the information you provide to Stripe and which we retrieve from your connected Stripe account.
  • iv. You authorize Stripe to automatically deduct our Commission from the funds processed on your connected account and transfer it to InvitePaywall.
  • v. You are responsible for Stripe's processing fees on transactions processed through your connected Stripe account.
• c. InvitePaywall may issue monthly invoices to Server Owners on the Commission Tier, detailing the application fees collected. These invoices will be marked as paid via deduction.
• d. All fees set by Server Owners for End-Users must be clearly communicated to End-Users before they proceed to payment.

Refunds

• a. For End-Users:
  • i. If an End-User can reasonably prove to us that they did not receive a valid Discord invite link or were not able to use it due to a technical problem originating from our Services, InvitePaywall may, at its discretion, issue a new invite link for the same paywall.
  • ii. For any other complaints (e.g., dissatisfaction with the Discord server, being banned from the server after joining), the End-User must negotiate any refunds directly with the Server Owner.
  • iii. If a Server Owner agrees to refund an End-User for a transaction processed under the Platform Tier, the Server Owner must contact InvitePaywall to facilitate such a refund, subject to our approval and Stripe's refund capabilities.
  • iv. If a Server Owner agrees to refund an End-User for a transaction processed under the Commission Tier, the Server Owner is responsible for issuing the refund through their own Stripe dashboard.
• b. Application Fees: InvitePaywall's application fees (Commissions) are non-refundable, except in cases where InvitePaywall, in its sole discretion, determines that it failed to deliver the core service related to that specific transaction (e.g., a technical failure on our part prevented invite generation after a successful payment where an application fee was collected).

Intellectual Property

• a. Our Services, including the Site, Bot, logos, designs, text, graphics, and other files, are the property of Irrational Finance AB or its licensors and are protected by copyright, trademark, and other intellectual property laws.
• b. We grant you a limited, non-exclusive, non-sublicensable, revocable license to use our Bot and access our Site solely for the purpose of using the Services as intended by these Terms.
• c. You retain all ownership rights to the content and intellectual property of your Discord server.

Termination

• a. By You: You may stop using the Services at any time by removing the Bot from your Discord server and, if applicable, disconnecting your Stripe account through the Bot command or your Stripe dashboard.
• b. By Us: We reserve the right to suspend or terminate your access to the Services, or remove the Bot from your server, at any time, with or without cause, and with or without notice, particularly if:
  • i. You breach these Terms.
  • ii. Your use of the Services is associated with activities that are illegal, promote hate speech, or are otherwise deemed harmful or inappropriate by us.
  • iii. There are issues with your connected Stripe account that prevent the proper functioning of the Commission Tier.
  • iv. We discontinue the Services.
• c. Effect of Termination: Upon termination, your right to use the Services will cease immediately. Any paywall configurations associated with your server will no longer be active.

Disclaimers

• a. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
• b. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
• c. WE ARE NOT RESPONSIBLE FOR THE CONTENT, RULES, OR ACTIONS WITHIN ANY DISCORD SERVER USING OUR SERVICES. WE ARE NOT RESPONSIBLE FOR DISPUTES BETWEEN SERVER OWNERS AND END-USERS.
• d. WE ARE NOT RESPONSIBLE FOR THE PERFORMANCE OR AVAILABILITY OF THIRD-PARTY SERVICES, INCLUDING DISCORD AND STRIPE.

Limitation of Liability

• a. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IRRATIONAL FINANCE AB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
• b. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF IRRATIONAL FINANCE AB EXCEED THE GREATER OF ONE HUNDRED SWEDISH KRONOR (100 SEK) OR THE AMOUNT YOU PAID INVITEPAYWALL, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Irrational Finance AB and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services, (ii) your violation of these Terms, or (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by the public courts of Sweden, with the District Court of Gothenburg (Göteborgs tingsrätt) as the first instance.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on our Site and update the "Last Updated" date. We may also provide you with notice of material changes, such as by sending a notification through the Bot or to an email address associated with your Stripe connected account if applicable. Your continued use of the Services after such changes have been notified will constitute your consent to the changes.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Irrational Finance AB regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
